A California law firm has launched an investigation into possible breaches of fiduciary duty of Quest Software Inc. directors in connection with its $2.4 billion acquisition by Dell Inc.?
Robbins Umeda LLP plans to focus on whether the company is undertaking a fair process to obtain maximum value and adequately compensate shareholders considering Quest?s financial results, according to a news release.
California-based Quest (Nasdaq: QSFT), which develops network and database management software, would become the ?core? of Dell?s software group that was formed earlier this year when it enlisted former CA Inc.? (Nasdaq: CA) CEO John Swainson to lead that business segment.
Round Rock-based Dell (Nasdaq: DELL), which employs an estimated 14,000 workers in Central Texas, has been on a buying binge this year as it attempts to refashion itself as a full-service tech company. Quest would be the sixth acquisition of Dell?s fiscal year.
The company spent $376 million on acquisitions during fiscal 2011, $3.6 billion in 2010 and $176 million in 2009, according to regulatory filings.
